End User License Agreement.
The license terms for using Total CMS 3 software. Read alongside the pricing and terms of service pages, which this agreement takes precedence over for software-specific matters.
This EULA is between you (or the organization you represent) and Aspect Services, LLC (“we,” “us”).
License Grant
A Total CMS license is granted per domain. Purchasing a license entitles you to install and run Total CMS on a single production domain, at the tier purchased, as offered in the store. Each additional production domain requires its own license.
A license also covers non-production development and staging environments for the licensed site — for example, a staging subdomain or a local development copy — at no additional charge.
You may upgrade to a higher tier at any time through the built-in store in your admin dashboard, which automatically recognizes your domain and license and shows the correct upgrade price. Upgrades are not sold directly on totalcms.co.
Trial License
Total CMS may be installed under a 45-day trial with full Pro-tier features enabled, no credit card required.
At the end of the trial period, license validation and software updates cease. The software is not remotely disabled, and content created during the trial is not deleted. Continued production use after the trial requires a paid license; trials are for evaluation, and we may decline to issue repeated trials for the same domain or user.
License Term, Updates & Perpetual Rights
Every Total CMS license includes a 24-month update term beginning on the date of purchase. During the update term, your license includes all software updates and feature releases for your tier.
When the 24-month update term ends, your license converts automatically to a perpetual license for the most recent version released during your update term. No action or payment is required for this conversion. Concretely: the version of Total CMS installed on your domain continues to run and function exactly as before, indefinitely. You simply won’t receive new updates or feature releases unless you choose to renew.
Renewals are optional. You may renew the update term at any time — including after a lapse — at the renewal pricing listed on our pricing page. Renewing after a lapse restores access to updates from the current version forward; it does not require back-payment for the lapsed period.
This is not a subscription. There is no recurring charge, no runtime license enforcement, and no mechanism by which your installed software stops working. You own your license, your software, and your workflow.
License Transfers (Rehoming)
A license is tied to its registered domain. You may transfer a license to a different domain:
- Once within 12 months of purchase, at no charge — for example, when a site launches on its final domain after development.
- After that, for the rehoming fee listed on our pricing page for your tier.
Transferring a license moves it entirely; the previous domain is no longer licensed. Rehoming does not extend the update term.
If you sell or transfer the licensed site itself — for example, an agency handing off to a client, or a business changing hands — the license may be transferred to the site’s new owner at no charge with notice to us, provided the domain remains the same.
Restrictions
Unless otherwise agreed in writing, you may not:
- Use a single license across more than one production domain
- Redistribute, resell, sublicense, or share the Total CMS source code or your license credentials with third parties
- Remove or circumvent license validation, except under offline or air-gapped licensing arrangements we have agreed to in writing
- Redistribute the CMS itself as a product. Building and delivering client sites with Total CMS is permitted without restriction; repackaging or reselling the software is not.
Enterprise & Custom Licensing
Enterprise, volume, and custom licensing arrangements — including multi-site pricing, managed hosting, and support commitments — are governed by separate written agreements. Where a separate written agreement conflicts with this EULA, the separate agreement controls.
Ownership
Total CMS is licensed, not sold. Aspect Services, LLC retains all right, title, and interest in the software, including all intellectual property rights. This EULA does not grant you any rights to our trademarks or branding.
Your Content
Total CMS stores your site’s content as flat files on your own server. We claim no ownership over content, collections, or files you create with the software. Nothing in this agreement grants us any right to access, use, or retain your content.
Refunds
Because the free 45-day trial provides full access to evaluate Total CMS before purchase, license sales are final, as described in our Terms of Service. If something has gone wrong with a purchase — a duplicate charge, a licensing error, a purchase for the wrong domain — contact us and we’ll make it right.
Term & Termination
This license remains in effect until terminated. We may terminate your license if you materially breach this agreement and, where the breach is curable, fail to cure it within 30 days of written notice. Breaches that are not curable — such as redistribution of the software or fraudulent purchase — may result in immediate termination.
Upon termination, your right to use Total CMS on the licensed domain ends. Termination does not affect content already stored on your own server, which remains yours.
Suspension or discontinuation of our online services does not, by itself, terminate validly purchased licenses. If we discontinue license validation services, we will make reasonable efforts to provide offline validation or equivalent arrangements so that existing installations can continue operating.
Warranty Disclaimer
Total CMS is provided “as is,” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
Limitation of Liability
To the fullest extent permitted by law, Aspect Services, LLC’s total liability arising out of or relating to this EULA will not exceed the amount you paid for the license giving rise to the claim. In no event will we be liable for indirect, incidental, special, or consequential damages.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
Governing Law
This EULA is governed by the laws of the State of California, without regard to conflict-of-law principles.
Changes to This Agreement
We may update this EULA for future purchases. The version in effect at the time of your purchase continues to govern that license; changes are not applied retroactively to existing licenses.
Entire Agreement
This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Aspect Services, LLC regarding Total CMS and supersedes any prior agreements on the same subject — except that separate written agreements described under Enterprise & Custom Licensing remain in effect and control where they conflict.
